Resumo
O estudo das formas de criação e funcionamento das empresas públicas em Angola é de uma
grande atualidade. O presente trabalho analisa os desafios da corporate governance, nas
empresas públicas, com enfoque nas sociedades de capitais exclusiva ou maioritariamente
públicos. As pressões da evolução tecnológica e a dependência, cada vez mais crescente, das
empresas ao mercado internacional, leva-as a adoptar novas regras de governação. O Estado
enquanto acionista principal, cabe-lhe o papel de controlo e à uma obrigação de vigilância. Da
investigação que fizemos ao setor empresarial publico, constatamos que os chamados custos
de agencia têm gerado deficiente funcionamento da estrutura organizacional, conflitos de
interesse, opacidade e endividamento. Em conformidade com as regras de corporate
governance, propomos o reforço do controlo das empresas publicas por parte do Governo,
Assembleia nacional e do Tribunal de Contas. É um trabalho cujo âmbito de estudo, cruza as
áreas do direito publico e do direito privado,mormente o direito das sociedades.
The study of the forms of creation and operation of public companies in Angola is of great relevance. This paper analyzes the challenges of corporate governance in public companies, focusing on companies with exclusive or majority public capital. The pressures of technological evolution and the growing dependence of companies on the international market lead them to adopt new rules of governance. The State as the main shareholder has the control role and the oversight obligation. From the research we have done to the public business sector, we find that the so-called agency costs have generated poor functioning of the organizational structure, conflicts of interest, opacity and indebtedness. In accordance with the corporate governance rules, we propose to strengthen the control of public companies by the Government, the National Assembly and the Court of Auditors. It is a work whose scope of study, crosses the areas of public law and private law, especially corporate law.
