Resumo
Em 1942, Giorgio Oppo propôs a designação de contratos parassociais para aqueles’’ acordos celebrados pelos sócios, exteriores ao acto constitutivo e aos estatutos ,para regular inter se ou ainda as relações com a sociedade ,com órgãos sociais ou com terceiros, um certo interesse ou uma certa conduta social’’,estava o autor italiano a criar a noção dos acordos parassociais.
Os acordos parassociais constituem matéria de grande interesse para estudo dada a relevância que estes assumem na vida prática da sociedade. Pois verificamos que nenhuma sociedade poderia funcionar regularmente sem o recurso aos acordos parassociais, sentido a sua grande importância nas sociedades de capitais, especialmente as sociedades anónimas.
Os acordos parassociais no ordenamento jurídico português esta tipificado no art.º17 C.S.C. Os acordos parassociais são contratos celebrados entre todos ou alguns sócios de uma sociedade, nessa qualidade, para reger situações jurídicas societárias a ela relativas. Os acordos parassociais geram obrigação entre os seus subscritores, e goza esse regime de uma eficácia relativa.
No ordenamento angolano, os acordos parassociais art.º19, apresentam dois traços essenciais por referência aos estatutos da sociedade: (i) independência, porquanto são negócios jurídicos com autonomia própria, distintos do contrato de sociedade, atendendo à natureza individual e pessoal das obrigações que deles emergem; e (ii) ligação funcional, uma vez que existe uma particular acessoriedade entre os acordos parassociais e o pacto social, que permite o recurso à figura da união de contrato.
O objetivo da presente dissertação é a análise do direito comparado dos acordos parassociais num âmbito geral entre Portugal e Angola.
In 1942, Giorgio Oppo proposed the designation of shareholder agreements for those agreements concluded by members, outside the constitution and bylaws, to regulate inter se or even relations with society, with corporate bodies or with third parties, a certain interest or a certain social conduct, 'was the Italian author to create the notion of parastatal agreements. Parapsocial agreements are matters of great interest for study given the relevance they assume in the practical life of society. For we have seen that no company could function regularly without recourse to shareholders' agreements, meaning its great importance in capital companies, especially corporations. The shareholders' agreements in the Portuguese legal system are typified in article 17 C.S.C. Parapsocial agreements are contracts entered into by all or a few members of a company, as such, to govern corporate legal situations relating thereto. Parapsocial agreements create an obligation between their subscribers, and this regime enjoys relative effectiveness. In Angolan law, shareholders' agreements, article 19, present two essential characteristics by reference to the articles of association: (i) independence, since they are legal transactions with their own autonomy, distinct from the articles of association, taking into account the individual and personal nature of the obligations emerge; and (ii) functional linkage, since there is a particular accessory between the shareholders agreements and the social agreement, which allows the use of the figure of the contract. The objective of this dissertation is the analysis of the comparative law of the shareholders' agreements in a general scope between Portugal and Angola.
